This Client Engagement & Service Agreement Policy (“Agreement”) outlines the terms under which X-Ciel Consulting Pvt. Ltd. (“X-Ciel”, “we”, “our”, or “us”) provides business consulting, legal and compliance, brand strategy, market research, and market entry services to our clients (“you” or “Client”). This policy is designed to promote transparency, protect mutual interests, and ensure a clear understanding of project scope, responsibilities, deliverables, and confidentiality obligations.
1. Scope of Services
X-Ciel offers a variety of consulting services across industries and regions, including but not limited to:
- Business Consulting & Startup Advisory
- Brand Strategy & Digital Positioning
- Market Research & Industry Insights
- Legal Compliance, Licensing & Certifications
- New Market Entry Planning
Each engagement is customized to the Client’s specific goals, challenges, and timeline, and clearly documented in a formal proposal or scope of work (SoW).
2. Proposal & Acceptance
All services are initiated upon the Client’s written acceptance (via email, digital signature, or physical agreement) of a formal proposal.
This proposal outlines:
- Project scope and deliverables
- Timeline and milestones
- Fees and payment terms
- Support requirements (e.g., data, access, documentation)
3. Deliverables
Deliverables may include strategic reports, presentations, market research documents, legal templates, or project frameworks.
All materials are delivered in digital format (unless otherwise agreed) and are developed solely for the Client’s internal use unless specified in writing.
4. Client Obligations
Clients are responsible for:
- Providing timely access to relevant data, documentation, and stakeholders
- Communicating clearly about expectations and deadlines
- Reviewing and approving deliverables within mutually agreed timeframes
- Ensuring all legal or financial data shared is accurate and complete
5. Confidentiality
Both X-Ciel and the Client agree to keep all non-public, proprietary, or confidential information shared during the engagement private and protected.
This includes (but is not limited to):
- Business strategies, plans, or trade secrets
- Financial or legal documents
- Internal communications or client data
Information will not be shared, sold, or disclosed to third parties without written permission unless legally required.
6. Payment Terms
Payment terms will be clearly specified in the proposal or invoice. Unless otherwise agreed:
- 50% of the project fee is payable in advance
- The balance is payable upon project delivery or milestones
- Delays in payment may result in project suspension or late fees
7. Cancellation & Refunds
- Cancellations must be made in writing.
- Refunds (if applicable) will be considered on a case-by-case basis, depending on the work completed.
- If X-Ciel cancels the engagement, any unused advance will be refunded after adjustment for completed work.
8. Limitation of Liability
While we strive to provide accurate and effective consulting solutions, X-Ciel shall not be liable for any indirect, incidental, or consequential damages arising from the Client’s use or interpretation of the deliverables.
9. Amendments
Any changes to the engagement scope or terms must be mutually agreed upon in writing.
10. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the jurisdiction of the courts of Delhi NCR, India.
